Terms and Conditions
Welcome to CNL Technologies. The following Terms and Conditions (“Service Terms”) govern your use of our services. By accessing, engaging with, or using services provided by CNL Technologies, you agree to comply with and be bound by these Service Terms.
Service Engagement
The engagement with CNL Technologies includes, but is not limited to, IT services, software development, web development, digital transformation solutions, technology consulting, cloud services, maintenance, support, and other technology-related services as outlined in the applicable agreement or proposal.
Scope of Work
The scope of work, deliverables, timelines, and project requirements will be defined in the proposal, quotation, contract, or agreement provided by CNL Technologies.
Any modifications, additions, or changes to the agreed scope must be mutually approved in writing by both parties.
Payment Terms
Payment terms, including project fees, billing schedules, milestones, subscriptions, maintenance charges, and applicable taxes, will be specified in the agreement or invoice.
Failure to make payments within the agreed timeframe may result in delayed delivery, temporary suspension, or termination of services.
CNL Technologies reserves the right to charge applicable late fees or interest where legally permitted.
Intellectual Property
Upon full payment for the services rendered, the final approved deliverables developed specifically for the client shall become the property of the client, unless otherwise stated in the agreement.
CNL Technologies retains ownership of:
● Pre-existing tools, frameworks, templates, systems, methodologies, and proprietary technologies
● General technical knowledge, expertise, skills, and experience acquired during the engagement
Any unauthorized reproduction, redistribution, or misuse of proprietary assets belonging to CNL Technologies is prohibited.
Confidentiality
CNL Technologies values client confidentiality and agrees to protect all sensitive business, technical, and personal information shared during the engagement.
Such information will not be disclosed to third parties without prior consent, except where disclosure is required by applicable law, legal process, or regulatory obligations.
Client Responsibilities
Clients are responsible for:
● Providing accurate project requirements and information
● Granting timely access to required systems, platforms, or resources
● Reviewing deliverables and providing approvals or feedback within reasonable timelines
● Maintaining lawful use of the services provided
Any delays caused due to incomplete information, lack of communication, or pending approvals from the client side may impact project schedules and delivery timelines.
Quality Assurance
CNL Technologies is committed to delivering professional and high-quality services.
Clients are encouraged to report any issues, concerns, or defects promptly. Reasonable efforts will be made to investigate and resolve service-related concerns within an appropriate timeframe.
Termination of Services
Either party may terminate the engagement with written notice if the other party breaches a material term of the agreement and fails to resolve the issue within a reasonable period.
Upon termination:
● The client shall pay for all completed work and pending dues up to the termination date
● Any access or licenses granted may be revoked where applicable
● Ongoing support or maintenance services may cease unless otherwise agreed
Liability & Indemnity
CNL Technologies shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the services.
Clients agree to indemnify and hold harmless CNL Technologies, its employees, partners, and affiliates from any claims, damages, liabilities, or legal disputes resulting from misuse of services, violation of laws, or third-party rights.
Third-Party Services
Certain projects or solutions may involve third-party software, hosting providers, APIs, plugins, or platforms.
CNL Technologies is not responsible for downtime, policy changes, pricing changes, limitations, or disruptions caused by third-party service providers.
Dispute Resolution
In the event of any dispute, both parties agree to attempt resolution through mutual discussion and good-faith negotiation.
If unresolved, disputes shall be subject to arbitration or legal proceedings in accordance with the applicable laws and jurisdiction specified in the agreement.
Modification of Terms
CNL Technologies reserves the right to modify or update these Service Terms at any time.
Updated terms will be published on the official website or communicated through appropriate channels. Continued use of services after such updates constitutes acceptance of the revised terms.
Indian Government Compliance
CNL Technologies is committed to complying with all applicable Indian laws, regulations, taxation policies, cybersecurity standards, and business compliance requirements.
This includes adherence to regulations related to:
● Information Technology laws
● Taxation and invoicing obligations
● Data protection and cybersecurity practices
● MSME and commercial business regulations
● Any other applicable statutory requirements
